Please read these Terms and Conditions (“Terms”) carefully before using the website custompackagingmakers.com (the “Site”) or placing any order for products or services from Custom Packaging Makers (“Custom Packaging Makers,” “we,” “us,” or “our”). These Terms govern your access to and use of the Site and describe the terms under which we provide custom packaging, printed boxes, and related services. By accessing or using the Site or placing an order, you agree to be bound by these Terms. If you do not agree, do not use the Site or place an order.

Scope

  • These Terms apply to all visitors, users, customers, and others who access the Site or use our services. Additional terms may apply to specific services, promotions, or purchase orders; in the event of a conflict, the additional terms will govern with respect to that service or order.

Eligibility

  • You must be at least 18 years old and have full legal capacity to enter into binding contracts. By placing an order you represent and warrant that you meet these eligibility requirements.

Orders, Quotes, and Acceptance

  • Quotes: Price quotes provided by Custom Packaging Makers are valid for the specified period and are subject to change after expiration. All quotes are subject to verification and acceptance by us.
  • Order Acceptance: An order is accepted only when we send a written order confirmation or invoice. We reserve the right to refuse or cancel any order for any reason, including suspected fraud or inability to meet your specifications.
  • Artwork & Specifications: You are responsible for providing accurate product specifications, artwork, logos, and files. By submitting files you represent that you own or have the necessary rights and licenses to use the content. We may reject artwork that infringes third-party rights or does not meet our print requirements.

Prices, Taxes, and Payment Terms

  • Pricing: Prices quoted do not include applicable taxes, duties, or shipping charges unless expressly stated. We may change prices on the Site without prior notice; however, confirmed orders are governed by the prices in the accepted quote/invoice.
  • Payment: Payment terms are as specified in your quote/invoice. We accept payment via major credit cards, bank transfers, and other methods we designate. For new accounts or large orders we may require prepayment or deposits.
  • Late Payments: Past due amounts may accrue interest at the lesser of 1.5% per month or the maximum permitted by law. We may suspend performance and delay shipments for accounts with overdue balances.

Production, Proofs, and Approval

  • Proofs: We provide digital proofs and, upon request, physical samples for approval. It is your responsibility to review proofs carefully. Once you approve a proof (electronically or in writing), you accept responsibility for any errors.
  • Color & Material Variations: Slight color variations may occur due to printing processes, substrates, and monitor calibration. Minor deviations in materials, finishes, or dimensions within industry tolerances do not constitute a defect.
  • Lead Times: Production and delivery estimates are approximate and commence after final proof approval and receipt of required payments and materials. Rush orders may incur additional fees.

Shipping & Delivery

  • Shipping: Shipping costs and methods will be specified in your order. Delivery dates are estimates and not guaranteed. Risk of loss transfers to you upon delivery to the carrier.

  • Delays: We are not liable for delays caused by shipping carriers, customs clearance, force majeure events, or your failure to provide timely information.

Returns, Cancellations & Refunds

  • Cancellations: Orders may be canceled only with our prior written consent and may be subject to cancellation fees covering work performed and materials purchased.

  • Returns: Due to the custom nature of our products, we generally do not accept returns except where products are defective or not as specified. If you believe an item is defective or nonconforming, notify us promptly and provide documentation. We will evaluate and, if appropriate, replace or refund the nonconforming items in accordance with our policies.

  • Refunds: Refunds, if any, will be issued to the original payment method within a reasonable time after a refund decision.

Warranties & Disclaimers

Limited Warranty: We warrant that products delivered will conform to the specifications in your accepted order and to commercially reasonable industry standards. This warranty is valid for a limited period following delivery as specified in your order or, if not specified, 30 days.

DISCLAIMER: EXCEPT FOR THE LIMITED WARRANTY ABOVE, CUSTOM PACKAGING MAKERS DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

Intellectual Property

  • Ownership: All trademarks, service marks, logos, and content on the Site are the property of Custom Packaging Makers or their respective owners. You may not use our trademarks without prior written permission.

  • Customer Materials: You retain ownership of intellectual property you provide (e.g., logos, artwork), but by submitting such materials you grant Custom Packaging Makers a non-exclusive, royalty-free, worldwide license to use, reproduce, and display the materials to provide the contracted services and for marketing as permitted in writing.

Confidentiality

Each party agrees to keep confidential any non-public information disclosed in connection with services and to use such information only for performance under these Terms. Confidential information does not include information that is publicly known, independently developed, or required to be disclosed by law.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CUSTOM PACKAGING MAKERS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO THE PRODUCTS, SERVICES, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING FROM OR RELATING TO A DEFECTIVE PRODUCT OR SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM.

Indemnification

You agree to defend, indemnify, and hold harmless Custom Packaging Makers and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from: (a) your breach of these Terms; (b) your infringement of any third-party rights; (c) your use of the Site; or (d) your submitted content.

Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to conflict of law rules. Except as otherwise provided, parties will first attempt to resolve disputes through good-faith negotiation. If unresolved, disputes shall be finally settled by binding arbitration in Boulder, Colorado, under the rules of the American Arbitration Association (AAA) or similar arbitration provider; each party waives trial by jury and to the fullest extent permitted, class or representative actions.

Export Controls & Compliance

You agree to comply with all applicable export and import laws and regulations in connection with products and services. You are responsible for obtaining any required permits or licenses.

Modifications to the Site & Terms

We may modify or discontinue the Site or any portion of it at any time with or without notice. We may update these Terms periodically; the “Last updated” date will reflect changes. Continued use of the Site after changes constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is held unenforceable, invalid, or illegal, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

Waiver

No waiver of any provision of these Terms will be effective unless in writing and signed by an authorized representative of Custom Packaging Makers. Failure to enforce any right or provision will not constitute a waiver.

Third-Party Services & Links

The Site may contain links to third-party websites, tools, or services. We are not responsible for their availability, content, or practices. Your interactions with third parties are solely between you and the third party.

Entire Agreement

These Terms, together with any accepted quotes, order confirmations, and any other incorporated documents, constitute the entire agreement between you and Custom Packaging Makers regarding the Site and services and supersede all prior agreements.
